Globalstar Completes $738 Million Financing
Financing Fully Funds Globalstar 2.0 Second-Generation Satellite Constellation and IP-Based Ground Segment

Source: Globalstar, Inc.
On Wednesday July 1, 2009, 12:01 am EDT

MILPITAS, Calif., July 1, 2009 (GLOBE NEWSWIRE) -- Globalstar, Inc. (Nasdaq:GSAT - News), a leading provider of mobile satellite voice and data services to businesses, governments, and consumers, today announced that it has completed a financing of approximately $738 million. The total financing combines a previously announced $586 million credit facility and registered direct offering of convertible debt and warrants for $55 million plus a deposit by Thermo Funding, the majority shareholder of Globalstar, of $60 million into a contingent equity account, and funding of a debt service reserve account. The $738 million financing fully funds the manufacture, delivery and launch of the Company's Globalstar 2.0 second-generation network and ground facilities, plus certain long-lead items connected with the accelerated delivery of additional second-generation spare satellites, and provides the Company with working capital needed for current and future operations.

This is a tremendous day for Globalstar, and I cannot express how pleased I am that the funding is now complete," said Jay Monroe, Chairman and CEO of Globalstar, Inc. Mr. Monroe added, "We can now move forward and re-focus all of our collective energies on growing the market for our comprehensive lineup of mobile satellite solutions for enterprise and retail consumers. Globalstar already has the mobile satellite industry's largest base of voice and data customers. We also have been recognized for launching the industry's first and only mainstream retail consumer product, the SPOT Satellite GPS Messenger(tm). With this funding we have the resources needed to deploy a new constellation of satellites designed to last beyond 2025 and to build the supporting ground infrastructure that will position us to be first to market with a host of advanced IP-based mobile satellite services years ahead of our primary competition. The launch of our new constellation, expected to be completed in 2010, will pave the way for the return of the high quality and reliability historically provided to Globalstar's voice and duplex data subscribers.

"Once again I would like to thank all of those involved who worked tirelessly on this financing during what can only be described as the most challenging capital market environment in recent memory. I would like to acknowledge the dedication and diligent efforts of those at Coface, BNP Paribas, Societe Generale, Natixis, Calyon, CIC, Thales, Arianespace, Hughes, Brown Brothers Harriman and Lazard who share our vision of this Company's future."

With the funding now complete, Globalstar expects to be the first global mobile satellite voice and data company to deliver and deploy its second-generation satellites and the first to offer an IP (Internet Protocol)-based network. The Globalstar 2.0 next-generation network includes the second-generation satellite constellation, designed and manufactured by Thales Alenia Space, and the company's new ground segment developed by Hughes and Ericsson Federal. It is designed to provide Globalstar customers with high quality voice and data services beyond 2025 and increased data speeds of up to 256 kbps in a flexible all IP configuration. Products and services supported are expected to include push to talk and multicasting, advanced messaging capabilities such as multimedia messaging or MMS, mobile video applications, geo-location services, multi-band and multi-mode handsets and data devices with GPS integration. The financing will also facilitate the introduction of Globalstar's next-generation satellite interface chipsets being designed by Hughes Network Systems.

SPOT Announces National Distribution at Pep Boys Stores
7:01a ET July 9, 2009 (GlobeNewswire)
SPOT LLC, a wholly-owned subsidiary of Globalstar Inc. (Nasdaq:GSAT) and a leader in personal satellite messaging and emergency communications, today announced it has expanded its retail distribution to The Pep Boys - Manny, Moe & Jack (NYSE:PBY), the nation's leading automotive aftermarket service and retail chain. Starting today, The Pep Boys will sell the award-winning SPOT Satellite GPS Messenger(tm) in all 560+ locations in 35 states and Puerto Rico as well as online at pepboys.com.

The SPOT Satellite GPS Messenger(tm) provides users a complete GPS tracking and alert system for those who spend time in the outdoors or on the road traveling. SPOT is the world's first satellite GPS messenger. Because SPOT uses satellite technology, users can send their GPS location coordinates and status message to personal contacts, roadside service providers or an emergency response center regardless of cellular availability. Users can also activate a web-based tracking function which allows the unit to be visually tracked on Google Earth(tm) or Google Maps(tm).

"This marks the company's entrance into the automotive market and we are delighted to partner with Pep Boys in support of our new on-road tracking and assistance service, SPOT Assist Roadside," said Jake Rembert, vice president of sales, SPOT LLC. "The recent launch and availability of SPOT Assist Roadside provides location-based, satellite solutions to a broader, market for everyday use. We look forward to a long standing relationship with Pep Boys and their customers."

SPOT Assist Roadside, is the only portable roadside assistance service that operates solely on satellite communications. Unlike OnStar(r) or other GPS navigation devices that may rely on cellular communications, SPOT Assist Roadside combines GPS and satellite communications technologies to deliver location-based messaging from around town or on rural back roads.

"We selected the SPOT Satellite GPS Messenger because we want to offer our customers a reliable, portable, and cost-effective safety solution," said Pep Boy's Electronics Category Manager Michael Martin. "With the timely recent addition of its roadside assistance service, we can introduce this exciting new product to our customers at an ideal time of year, in the height of the summer travel season."

Supported by Nation Safe Drivers, the SPOT Assist Roadside service includes five roadside tows per year, up to 50 miles per tow, auto-accident assistance, fuel delivery services, tire repair, battery services, and lock key and lockout service.

The integration of SPOT Assist Roadside services provides SPOT customers a complete GPS safety system which includes four functions that transmit messages via satellite based on varying levels of need:

* Help notifies the SPOT Assist roadside response center or others of your GPS location and need for assistance. * Check In lets contacts know where you are and that you are okay * Track Progress sends and saves your location and allows contacts to track your progress using Google Maps(tm) * Alert 9-1-1 notifies an emergency rescue coordination center of your GPS location

The SPOT Satellite GPS Messenger suggested retail price is $169.99 USD. Customers can upgrade their annual basic SPOT service (available at $99.99 per year including unlimited use of Check-in, Help and 9-1-1) to also include SPOT Assist Roadside service for an additional $30 per year. Globalstar Signs Distribution Agreement With Hamilton Associates for Satellite-Based Remote Utility Meter Reading Product
Globalstar Interface Module Provides Electrical Utility Companies With An Affordable Meter Reading Solution That Transmits Data From Virtually Anywhere
Press Release
Source: Globalstar, Inc.
On Thursday July 16, 2009, 9:00 am EDT

MILPITAS, Calif., July 16, 2009 (GLOBE NEWSWIRE) -- Globalstar, Inc. (Nasdaq:GSAT - News), the world's largest provider of mobile satellite voice and data services to businesses, governments and individuals, today announced that Globalstar USA, LLC has signed a distribution or sales representative agreement with Hamilton Associates of Arvada, CO, a leading manufacturer's representative company specializing in the distribution of electrical utility products. Hamilton will represent Globalstar while distributing Globalstar's recently launched satellite-based remote automated utility meter reading interface (MRI) solution, designed to communicate with meters located in areas not served by terrestrial wireless or the public landline telephone system. According to the contract, Hamilton will act as the sales representative or selling agent for the Globalstar MRI series of data products and provide promotional, merchandising and training support for customers located in Montana, Wyoming, Utah, Colorado, Arizona and New Mexico.

This agreement with Hamilton demonstrates Globalstar's continued commitment to expand the distribution of our innovative mobile satellite voice and data services to our core commercial market customers," said Mark Stevenson, Vice President, Strategic Sales and Alliances for Globalstar, Inc. Mr. Stevenson added, "We are pleased to be working with Hamilton as our primary representative and MRI distribution partner and we look forward to further expansion into other regional territories later this year."

"We are excited about the opportunities Globalstar brings in offering improved communication capabilities for remote and hard to read meter locations," said John Schmidt, president of Hamilton Associates. Mr. Schmidt added, "As a 75 year-old company serving the utility industry, we feel Globalstar provides an efficient and cost effective solution for remote data acquisition. The Globalstar MRI product eliminates the need for manual meter reading by individuals in remote areas and the associated high overhead costs in man and equipment time. It also virtually eliminates the potential remote safety communications issues that could arise for meter readers during inclement weather."

The MRI product provides utility companies with a way to communicate with remote CI (commercial and industrial) utility meters using the Globalstar satellite network substituting for the public telephone network. The MRI transmits and receives information between the meter and the utility company backoffice host system. The MRI provides a way to manage and collect meter data while eliminating the need for, and the costs associated with, sending workers into remote and sometimes hazardous areas just to read a utility meter. This can result in increased productivity and workplace safety while decreasing the high costs associated with remote meter-reading fleet management. Because utility companies typically only require a few minutes each day to collect and transmit information, the Globalstar Duplex data network can easily provide a highly reliable and cost effective data collection and command execution solution.

The new Globalstar MRI module is designed for use with ANSI C12.18, 19, and 21 compliant products. It is housed in a robust water-resistant housing and can be installed on a utility meter that is located in a remote location. When usage or load information of a meter is required, the utility backoffice initiates a PSTN call to the remote meter's modem after referencing the Globalstar OSAT satellite availability tool. The server communicates with the utility meter as if the meter were connected to a standard public telephone line.

The Globalstar MRI module is now available in the United States and Canada. The product is also expected to be launched in other countries later this year. For additional sales and pricing information regarding the Globalstar MRI product in the United States please contact Dwayne MacTavish at (817) 421.5778 or via email at dwayne.mactavish@globalstar.com. In Canada please contact Martin Jefferson at (905) 712.7110 or via email at mjefferson@globalstar.ca
