WARWICK, RI, Sep 01, 2006 (MARKET WIRE via COMTEX) -- ICOA Inc. (OTCBB: ICOA) has added a menu item that is proving very popular with customers of the new Embers Grill in Alpharetta, Georgia. In addition to tasty grilled meats and fine beers from an on-premises microbrewery, patrons of Embers Grill enjoy free Wi-Fi broadband Internet access.

Restaurateur Gilles Maillet has spent three decades in senior posts at major restaurant chains, so he knows what it takes to keep customers happy and coming back. He applied all of that knowledge and experience when he struck out on his own, establishing Embers Grill. The upscale grill, located in a fast-growing suburb north of Atlanta, seats 250.

Mr. Maillet chose a format popular with today's busy diners -- hearty, cooked-to-order food served quickly in a friendly, casual setting. ICOA Sampling AnchorFree Extras

Wi-Fi hotspot provider ICOA is offering its customers the opportunity to join AnchorFree's hotspot community.

For the last six months, AnchorFree -- which established itself by offering free hotspot services in the San Francisco Bay area, as well as an online directory of free hotspots -- has been offering venues the opportunity to get a free Wi-Fi router that they can use for more than just customer Internet access. Customers are greeted by a browser login page that can be fully customized by venue owners with their own content, such as sales and specials or even simple blog entries, widgets with info like local movie listings, and more.

"Businesses can't always tell customers about upcoming events, new drinks," says Chris Bauman, marketing coordinator for AnchorFree. "Whatever they can think of to tell customers, this does it, over the Wi-Fi connection. That's the main value proposition."

AnchorFree also has an advertising option, and a Free Rewards program that will share revenue with venue owners who deliver the eyeballs. There's no minimum nor limit on how little or how much -- but the users have to be Web surfers, as the ads are viewed only in a browser.

ICOA, which operates hotspots in venues as varied as cafes, airports, hotels and RV parks, will apparently make the AnchorFree box available to all its own venue customers. ICOA will still authenticate users, but users can also register through AnchorFree with just a name and e-mail, which is then shared with venue owners. "It continues the open communication, which is valuable for the owner, and develops some customer loyalty," claims Bauman. "The customer gets updates then about their favorite locations, finding out things they didn't know otherwise."

ICOA's own billing system, part of its TollBooth OSS Platform, was upgraded in October 2006 to support time-based billing. It's up to the venue owners whether they charge or not, and how much. ICOA provides Wi-Fi for, among others, Denny's, Panera Bread, Bruegger's Bagels and Au Bon Pain.

Bauman didn't have any specific numbers on how many ICOA venues are using the AnchorFree service/router yet, but says it's been a large conversion, and that "they're ramping up."

The router -- a Buffalo Technology router with a change to the firmware inside -- is actually free for any hotspot venue owner. Updates are happening all the time automatically, but as yet, AnchorFree has not centralized the smarts of the system. Each venue still needs a full router.

The goal is to make signing on at free hotspot venues as concise a procedure as you'd find at a for-fee hotspot like Starbucks. "You connect, open your browser, come to the landing page, and it asks for money," says Bauman of T-Mobile's service at the coffee shop chain. "So the big idea is this: a consistent experience at every location. The same for free Wi-Fi. That's our vision."

How do they offer it for free? "There's enough benefit for the owner and for us, so there's no reason to charge at this point," says Bauman. He expects they'll have over 1,000 venues using the system before the end of June; the company's goal is to reach 10,000 locations. "We'd love to do that before the end of the year," he says.

The company is testing an enterprise-class box to handle much larger amounts of traffic than is typical for them today in a cafe or restaurant. The new unit will be for hotels and convention centers.

AnchorFree offers access to its regularly updated usage statistics online, and currently lists California, Illinois, Texas, Washington and Georgia as the "Top 5 Wireless Regions in the United States." San Francisco -- AnchorFree's hometown -- is the number one city, with 467 free hotspots in the AnchorFree directory, which is currently limited to the U.S. and Canada.

ICOA Buys RV Park Hotspot Provider

ICOA Corp. continues building out its little Wi-Fi empire. This week, the company announced its sixth acquisition, this time of LinkSpot Networks, a provider of Wi-Fi services at 80 recreational vehicle (RV) parks and campgrounds around the United States.

John Balbach, Vice President of Corporate Development at ICOA, says this puts the company at over 1,200 hotspots across 45 states. The bulk of this growth happened just last year, when ICOA went from a few airports to 900 owned or managed hotspots.

Other hotspot providers owned by ICOA include QGo, which does café hotspots; iDockUSA, with service at marinas and ports; Airport Network Solutions (the name speaks for itself); and Wise Technologies, with hotspots in a number of areas, including multi-dwelling units (MDUs). The company also owns AuthDirect, which provides OSS back-end services for several hotspot providers.

The entire ICOA hotspot footprint is in the process of moving to AuthDirect's TollBooth system, giving a subscriber using iDockUSA locations access to those at ICOA-run airports as well, for example. "Today, the payments are separate on all," says Balbach, "but it'll shortly be seamless. We built the network through acquisition, but we're unifying under a single platform."

ICOA's latest buy, LinkSpot, has grown from 30 locations in the summer of 2003 to 80 locations in 26 states today. Those locations encompass 20,000 individual campgrounds. That's only a drop in the bucket, though, as the company estimates the total market of RV/campgrounds includes over 2 million locations that are potential customers for wireless connections.

The former CEO of LinkSpot, Alan Kobran, will move to ICOA to become Vice President of Outdoor Hospitality and Recreation. He'll work on consolidating all of ICOA's recreational-related locations.

Balbach says the LinkSpot buy makes sense considering their success with iDockUSA. "If you look at RV parks and marinas, they're highly complementary," he says. "They operate in similar ways in terms of user base, habits and behaviors."

The LinkSpot deal was done for stock, so all LinkSpot share holders become ICOA shareholders.

While ICOA is already a roaming partner with hotspot aggregators like Boingo Wireless and iPass, Balbach says the company was waiting to pass the 1,000 locations mark to have more serious conversations with other network providers for roaming deals. "It's an open architecture," he says. "Our business model isn't owning the customer. We build and manage and maintain networks, and want to make them available to others."

ICOA: Building a Wi-Fi Empire

That a company like ICOA Corp. would emerge in the Wi-Fi industry seems almost inevitable in retrospect. It's a conglomerate built through acquisition, designed to exploit the continuing consolidation in the industry. ICOA is in some respects the antithesis of the entrepreneurism that marked the first phase of the development of Wi-Fi.

Once known as Information Companies of America, the Warwick, R.I.-based company is just plain ICOA now. Publicly traded for 20 years, ICOA has had a long and varied history in communications and information-related industries. Before it began an on-the-fly restructuring in mid-2003 to change its focus to the exploding Wi-Fi market, the company was mainly known for operating a network of self-service wired Internet payphone kiosks.

Today it focuses exclusively on Wi-Fi, mainly on providing managed services. Vice president of corporate development John Balbach notes that ICOA is one of the only pure Wi-Fi companies that is publicly traded, a significant distinction.

It has built its Wi-Fi presence in a very short time through acquisition. And more acquisitions are coming.

In 2003, after the mid-year makeover, ICOA snapped up QGO, a Wi-Fi infrastructure management firm and hotspot operator, and Airport Network Solutions, a company providing public hotspot and private Wi-Fi services in airports.

Then in 2004, a break-out year, it added:

Metaccord Systems, a software developer offering "a partnership management software platform to wireless operators enabling them to create, implement and manage relationships with large numbers of partners,"
Seventh Wave, operator of convention center Wi-Fi services in Chicago and owner of the Net-on-the-Go advertising/information portal
iDockUSA, a WISP focused on the west coast marina market and
AuthDirect, developer of the TollBooth service management platform.
Out of this concoction of companies and technologies, ICOA has fashioned a turnkey Wi-Fi platform that it is selling to any carrier, service provider, hotspot venue owner or enterprise interested in offering a private or public Wi-Fi service. "We can now offer anything along the entire Wi-Fi value chain," says Balbach. "Network design, implementation and management, OSS [operational support systems], customer care."

In the space of one year in 2004, it went from a few airport locations to over 900 owned or managed Wi-Fi sites—including 635 in cafi and other retail locations (many of them in the Au Bon Pain chain of bakery restaurants), 40 in marinas, eight in airports, four metro hot zones and 213 others. This was only partly a result of the acquisitions. It also built out its footprint aggressively over the year. Earlier in 2005 it hit the 1,000-location mark.

At the same time as it was acquiring companies, ICOA was also loading up on experienced Wi-Fi executives, like Balbach who had been at Cometa, the short-lived AT&T-IBM-Intel joint venture that crashed and burned. Others came from MobileStar (now part of T-Mobile) and NetNearU.

"We've learned a lot from that previous experience about what does and doesn't work in Wi-Fi," Balbach says. One of the things the company learned is that it doesn't make sense to build infrastructure on spec—or almost never. ICOA would much rather build and manage Wi-Fi systems for other people (exceptions are below).

AuthDirect, though it came into the fold last, is in many ways the cornerstone of ICOA's business going forward. AuthDirect introduced TollBooth 3.0, the latest version of its OSS platform, late last year, a few months after the acquisition. The product was the winner of a Best of Show Award at the Wi-Fi Planet Conference & Expo in San Jose, Calif., in December. TollBooth is at the heart of the company's managed service offering.

Traffic from most ICOA customer sites is backhauled to one of two company operations centers—one on each coast—to redundant TollBooth servers. TollBooth includes a transaction server, administration portal, customer self-care portal, retail sign-up system, commerce processing center (third-party credit card processing) and SMTP mail server.

Key to the ICOA strategy is that the services it manages are almost never branded with an ICOA brand. It's an important differentiator, says vice president of sales Dennis diBattista.

"We want to be brand-neutral," diBattista says. "You compare that to almost any other OSS platform and it makes us different. If you're with AuthDirect, it's your own portal—you never see the AuthDirect brand. We don't want to invest in a brand and can't afford to."

The single exception within ICOA is iDock, which like many of the other acquisitions of 2003 and 2004 continues to operate as a semi-autonomous entity. iDock and Airport Network Solutions (ANS) are also the only exceptions to ICOA's rule of not building infrastructure on spec.

"If you look back at the business models of the past, like MobileStar, that were not successful, everything they did was on spec, it was their entire strategy," Balbach says. "We've made a conscious decision in the case of marinas and airports that we will pick up the capex and opex (capital and operating expenditures) because we have data to prove that it makes economic sense to do so in those sectors. But in most locations, we choose not to do that."

ICOA's competitors vary from one vertical to another. Marinas is the only one where it faces little or no competition. iDock only operates on the west coast where, as diBattista points out, because of the climate, it's a 12-month business and there are many live-aboards, the core market for the marina services. iDock has deliberately chosen not to enter the marina market on the east coast where there are strong competitors.

In the airport vertical, ICOA is focused on smaller markets, which keeps it away from many competitors. The most recent addition to its portfolio is the international airport at Charleston, S.C.. Other locations include Spokane, Wash.; Baton Rouge, La.; Sacramento, Calif.; and Savannah Ga.

"We like the Tier 2 and 3 markets because there are a lot of them in the U.S.," diBattista says. "We feel pretty confident that in those markets we're a strong player and will continue to have success."

AuthDirect markets its managed services to all other verticals. It competes with NetNearU, Pronto and Airpath — though not directly with Wayport or T-Mobile, diBattista says, because neither offers private label services. "We consider ours a very good solution in that marketplace," he says.

While TollBooth appears to be a strong offering, it does not seem that ICOA has many other clear differentiators on the technology side. It's counting on its superior marketing and growth strategies to succeed—and its supposed economic clout as a publicly traded company. The building-through-acquisition process is by no means complete.

"This industry has been around five or six years now," Balbach notes. "We see it as very fractured. Consolidation is inevitable, and we're positioning ourselves to be part of that consolidation. Being publicly traded gives us the tools to do this."

The company is mainly looking to acquire local and regional wireless ISPs with strong subscriber bases and complementary or matching vertical market focuses—although it is also talking to at least one potential target with a national presence.

"We are aggressively pursuing mergers and acquisitions activity right now and are actively engaged in conversations with a number of companies," Balbach says. "We will probably be announcing some [completed deals] in the first half of 2005."

An empire in the making? Possibly. Despite strong revenue growth, though—633% year over year for the first nine months of 2004, for example—the company is still a minor player. That impressive-sounding growth statistic is the result of recording revenue of only $778,613, up from $106,244 in the first nine months of 2003.

Erwin Vahlsing, Director and CFO

With nearly thirty years of corporate finance experience, Mr. Vahlsing served as Chief Financial Officer of ICOA from his appointment in 1999 through October of 2005.

Mr. Vahlsing’s numerous fiscal leadership roles include serving as: Vice President and General Manager of Connect Teleservices, an $8 million call center; Senior Financial Analysts for Monarch Industries, a $35 million manufacturer; Vice President and General Manager of Arctic Air, a $2 million contractor; Vice President of Finance for ROLO, a $12 million manufacturer; CFO for Bloom & Son, a $35 million manufacturer; Corporate Comptroller for Trimont Chemical, an $18 million chemical manufacturer; and Corporate Comptroller for Paul Alfred, a $15 million manufacturer.

Mr. Vahlsing holds an MBA from the University of Rhode Island and a B.A. in Accounting from the University of Connecticut.

William D. Ankerstjerne, Director, Field Operations
As the Director of Field Operations for ICOA, Mr. Ankerstjerne has overall responsibility for all of the ICOA Wi-Fi deployments including RF engineering, wireless LAN /WAN design architecture, installations, equipment provisioning, R&D and personnel management for field operation, field services, purchasing, provisioning and field services contractors.

Mr. Ankerstjerne is an innovative, high-tech practitioner skilled at every level of network planning, architecture, engineering, administration, sales and management with over 10 years experience in various facets of wireless technology design and deployments. Wil has played a leading role in the ICOA conversion from a pay-per-fax purveyor into a wireless network and managed service provider for the travel industry, including prominent hotels, airports and restaurant chains nationwide.

Prior to his employment with ICOA, Wil served as the Director of Solutions Architecture for Schlumberger, a New York based fortune 1000 company, where he was responsible for various field services activities, and Chief Technology Officer for ISUTA USA, a Malaysian owned US subsidiary company responsible for the design and development of the first commercially available in-vehicle navigation and computing systems.

Wil attended Kutztown University and Eastern University, various United States Air Force schools, and and holds various certifications, licenses, and certificates in Information Technology.

Christopher Browne, Director, OperationsAs the Director of Operations, Mr. Browne has responsibilities for the overall internal operations of the company including Help Desk Services, Network Operations Center (NOC), Corporate Infrastructure and Security. Mr. Browne is also responsible for the development of operational policies and procedures.

Before ICOA, Mr. Browne worked at McDonald's Corporate where he played an integral role as Lead Engineer for the national roll out of broadband and wireless services to the 13,000 US restaurants layered with mission critical applications that directly affected restaurant sales. Mr. Browne was also responsible for the development of the national support policies and standards.

Prior to McDonald's, Mr. Browne acted as the Director of Information Technology for CNDI, a Cisco reseller and integrator specializing in VOIP, wireless and security.

Mr. Browne attended Sauk Valley College and holds several highly recognized technical certifications.
