Monterey, CA (MMD Newswire) November 6, 2009 -- Feel Golf Company, Inc., (OTCBB FEEL) announced today that the Company is introducing a new line of wedges and irons for the upcoming 2010 International PGA Merchandise Show in Orlando, FL.

Feel Golf, already known for producing one of the best feeling wedges in the golf industry for the past 15 years - designed by PGA Professionals - now blends the latest in advanced materials and technology into a brand new design of its Satin and Gun Metal lines of wedges and irons.

"We had a major break through in our Research and Design Program - improving the feel and performance of our wedges after ~20 years," said Lee Miller, Chairman & CEO of Feel Golf. "This advance came about as we were working on the new USGA and R&A 2010 groove rules and the effect caused by these new rules. As fellow PGA professionals, we realized to comply with the 2010 groove rules, there could be a fairly significant decrease in the short game ability for all players, but primarily to the recreational golfer. The new 2010 grooves can decrease ball spin and the ability to maintain good ball control and distance - especially from the rough and bunkers.

So to minimize the loss of ball spin and control that is expected to occur due to the new grooves ruling, we've had to make some pretty significant changes in our new designs. We changed metal composition, varied our head weight distribution, change production processes and are CNC milling "Micro" lines over the entire face of our new wedges and irons. These conforming changes improve both short game and overall performance by bringing back the majority of ball spin and ball control that is anticipated to be lost with the new grooves ruling.

Ultimately, we believe smaller grooves hurt the typical recreational player far more than the professional Tour player. I spoke to a golf pro yesturday from the World Golf Village in St. Augustine who comes into my store. He has not seen the new line from Feel, although he has herd about them. He also went on to say that if the rumors of the golf line is as good as he herd, Feel golf should do really well. To add, he and others I have spoken to from the World Golf Village said the PPS is extremely low and money will be made!

ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT


On June 25, 2010, Feel Golf Company, Inc. (OTC Bulletin Board: FEEL) (the “Company”), a seller of golf grips and golf clubs, entered into a Securities Purchase Agreement with an accredited investor for the purchase of an 8% Convertible Promissory Note due March 28, 2011 for $40,000 (the “Note”) attached hereto as Exhibit 10.1. The Note bears interest at an annual rate of 8% payable upon maturity. Subject to certain terms and conditions specified in the Note, the holders may convert the Note into registered shares of the Company’s common stock, par value $0.0001, (the “Common Stock”) at a 45% discount to the market price, meaning the average of the lowest three (3) trading prices for the Common Stock during the ten (10) trading day period ending one trading day prior to the date the holder sends a conversion notice to the Company.


On July 9, 2010, the Company and an accredited investor entered into an Amended and Restated 15% Convertible Debenture due July 9, 2012 for $25,000 (the “Debenture”) attached hereto as Exhibit 10.2. The Debenture bears interest at an annual rate of 15% payable upon maturity. At the Company’s option, the interest can be paid in either cash or, subject to the satisfaction of certain customary conditions, registered shares of the Company’s Common Stock. The holders may convert the Debenture into shares of Common Stock at a conversion price of the higher of (i) 50% of the average of the five lowest closing prices for the Company’s common stock during the fifteen (15) trading days prior to the conversion or (ii) $0.0001.

The information set forth in Item 1.01 hereof is incorporated by reference into this Item 3.02. Both the Note and the Debenture were issued in reliance on exemptions from registration under Section 4(2) of the Securities Act of 1933, as amended (the “ Act ”), and Rule 506 of Regulation D promulgated under the Act. These transactions qualified for exemption from registration because among other things, the transactions did not involve a public offering, each investor was an accredited investor and/or qualified institutional buyer, each investor had access to information about the Company and their investment, each investor took the securities for investment and not resale, and the Company took appropriate measures to restrict the transfer of the securities.

FEEL Golf Co Inc.

FEEL is one of the rare penny stocks with a product that you don't just hear stories about. FEEL has products in real stores that real people have bought and use. This means that they will soon be putting tons of profits into shareholder pockets. Not only that but they plan on expanding the production and scale of their products by launching an advertising campaign sometime this month. With all this in the works FEEL is looks like an amazing investment opportunity that is just taking its first steps on the long road to success.

Don't get to excited just yet, because there are more good things on the way!! FEEL only has a 10.4 million float. Which is miniscule, we see this going to .10+ on any mention of revenues or the advertising campaign, which seems imminent at this point.

Another amazing thing about FEEL is that real PGA golfers have written GREAT testimonials about there products. This is another added dimension that gives FEEL products an edge over the competition.

Overall we are baffled that this is still trading around .02-.03. We alerted this as a VIP Exclusive pick last week at .025 and so far it has produced solid gains but we see plenty more green on the horizon. If everything goes as expected then we find it hard to believe that we will see many more shares traded under .03 by the end of this week.

So obviously the hype is TRUE for FEEL, there is no denying that this could get to be one of the hottest stocks of 2010.
