BUSINESS SUMMARY
Dynegy, Inc., through its subsidiaries, engages in the production and sale of electric energy, capacity, and ancillary services in the United States. It sells electric energy on a wholesale basis from its natural gas-fired, coal-fired, and oil-fired power generation facilities. As of December 31, 2007, the company had a fleet of 29 operating power plants in 13 states totaling approximately 20,000 megawatts of generating capacity. Dynegy?s customers include regional transmission organizations, independent system operators, integrated utilities, municipalities, electric cooperatives, transmission and distribution utilities, industrial customers, power marketers, other power generators, commercial end-users, and financial participants, such as banks and hedge funds. The company was founded in 1985 and is based in Houston, Texas.

Dynegy net loss tops $300 million; revenue up

NEW YORK (MarketWatch) -- Dynegy on Thursday said it lost more than $300 million in the latest quarter while revenue rose by two thirds.

Dynegy said its first-quarter net loss widened to $335 million, or 40 cents a share, from $152 million, or 18 cents a share, a year ago.

Revenue rose to $904 million, from $543 million last year.

In the latest quarter, Dynegy took $169 million in mark-to-market losses, as well as a $433 million impairment charge.

Shares of Dynegy fell 5 cents to $1.84 on Wednesday.

Icahn raises stake in target Dynegy

Carl Icahn, the activist investor, has raised his stake in Dynegy and offered it a $2bn line of credit, in a last-ditch effort to block the sale of the US power producer to Blackstone.

Mr Icahn and his affiliated investment vehicles revealed in a filing on Friday that they had increased their stake from 9.95 per cent to 12.9 per cent and that they would provide the line of credit if Dynegy could not get other financing.

Mr Icahn has said he will vote against Blackstone’s bid of August 13 of $4.50 a share – which represented a 62 per cent premium at the time.

The all-cash offer of $4.7bn values Dynegy’s equity at about $543m.

Mr Icahn believes the bid undervalues the shares. Shareholders are to vote on Wednesday on the bid, which is also being opposed by Seneca Capital, an activist fund.

Seneca has bought 9.3 per cent of Dynegy, in another attempt to derail the bid.

The fund has proposed two alternative board members to replace Bruce Williamson, Dynegy’s chief executive, and David Biegler, chief executive of Southcross Energy and chairman of Estrella Energy.

The men are believed to be the biggest proponents of the Blackstone acquisition.

Seneca wants them replaced with Jeff Hunter, chief financial officer of US Power Generating, and E. Hunter Harrison, former chief executive of Canadian National Railway.

Mr Williamson insists that while he has reduced Dynegy’s net debt to $4bn during eight years as chief executive, the company cannot get ahead of its debt payments because falling natural gas prices are undermining its earnings potential.

US natural gas prices have been trading around $3-$4 per million British thermal units (mBtu) in recent months, since falling from a record of $13.69 per mBtu in 2008.

Mr Williamson says Dynegy’s portfolio makes or loses $165m for every $1 move in natural gas prices.

Given the glut in natural gas from the shale boom, prices are expected to remain under pressure for at least the next year.

Mr Williamson says the Blackstone offer is the best it can get; no other offer emerged when Dynegy contacted 40 parties during the “go-shop’’ period after the deal was announced.

He says Dynegy shareholders deserve more than being part of a company that is constantly being restructured.

On November 8, Dynegy reported a third-quarter net loss that had narrowed to $24m, from $212m in the year-earlier quarter.

If the takeover by Blackstone goes through, NRG Energy, Texas’s second-largest power producer, will pay $1.36bn for Dynegy plants in California and Maine.

Dynegy also has plants in the Midwest and north-east.

Icahn Enterprises, L.P. announced that its wholly-owned subsidiary, IEH Merger Sub LLC, has extended the expiration date of its previously announced tender offer for all outstanding shares of common stock, including the associated rights, of Dynegy Inc. for $5.50 per share in cash, without interest and less any applicable withholding taxes, February 9, 2011, unless further extended or earlier terminated. The tender offer was previously scheduled to expire on January 25, 2011. All other terms and conditions of the tender offer remain unchanged. - - - - - (repeated)
