Dilution question
Ok. I am long a pinkie with about 50 million outstanding shares and 50 million more authorized. Since it doesn't report to the SEC does the company prepare S8 (i think theat's the name) reports to the transfer agent about dilution. If they do report with the transfer agent will the transfer agent tell me if the comapny is planning on diluting or have already been doing it? Basically I'm trying to find out in advance about possible dilution.

all the transfer agent will tell you is the os and float. best way if you suspect is call and ask the transfer agent the os and float then check again and again and keep watching it when you suspect. a pink sheet does not have to tell the sec a thing but the ta is the one that issues the shares for the company so they know all

Ok thank you Catfish. Well that sucks. Now let me ask if there are any tricks to know or normal key "times" when dilution is more likely to occur?

no but a lot of times it seems to be after lunch. or if good news around 2 hours after it is put out. if i am in a stock and holding i ussually call t/a each week if i have any suspision of dilution. skype is great for that for you can call anywhere in us and canada and not have long distance phone charges. if ta ever tells you to call the company for the float or os that means they have it gaged and 99.9% of the time if gaged they are diluting bad. of subject but i like the pays we put to click on for editing and stuff lol

Ok I called the TA ( www.transferonline.com) and was told that there policy is not to relase share information such as the OS and Float on any of their serviced companies. I was also told that they are not under a gag order. They told me to call the company directly. Like there going to tell me that they've been diluting the market. Is this TA company policy legal or are they just being legally anal?

i have called many ta company's and i believe they have to tell you the os if you are a share holder. if they will not i would be very careful also shoot a letter to the sec saying they refused to give the imformation to you as a share holder. never forget as a share older you are basically a partial owner of the company

Hey catfish.
I have talked to a T/A and they gave me the A/S, and the O/S. But they stated the float and the restricted shares can only be received from the company.
Your opinion on this matter.

float and restricted changes daily and i can understand them not giving that for not all do. i have had those that do give it say as of right now it is whatever but could change fast. os will tell you if dilution is going on. what you do not want is them printing new shares and that will show up in the os. the figures they give you must be exact and takes a little time to get you the float and restricted and most times they will have you ask in writing on a fax so it can be timed stamped. they are regulated pretty tight by the sec and will not lie for any company the represent
